These Terms of Service ("Terms") govern your access to and use of the Bayan Health website, mobile services, telehealth platform, communications, products, subscriptions, wellness protocols, and related services. By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy.
1. Important Medical Disclaimer
Bayan Health provides administrative, technology, educational, wellness, and telehealth facilitation services. Medical services are provided by independent licensed healthcare professionals and physician groups.
Bayan Health itself does not practice medicine, provide medical advice, diagnose conditions, prescribe medications, or replace your relationship with your primary care provider.
The Services are not intended for emergency medical situations.

Use of the Services does not guarantee:

2. Eligibility

- your provider may determine telehealth is not appropriate for your condition;
- your provider may recommend in-person evaluation;
- prescriptions are subject to provider discretion and applicable laws;
- and certain medications may not be prescribed via telehealth.
Certain states may require additional telehealth disclosures or informed consent procedures. You acknowledge that Bayan and affiliated providers may present supplemental state-specific telehealth consents where required.
You consent to:

- email notifications,
- and telehealth encounters.

4. State-Specific Disclosures
By using the Services, you acknowledge and consent to receiving healthcare through telehealth technologies.
You understand and agree that:
- telehealth involves electronic communications;
- there are potential risks associated with technology failures and unauthorized access;
- your provider may determine telehealth is not appropriate for your condition;
- your provider may recommend in-person evaluation;
- prescriptions are subject to provider discretion and applicable laws;
- and certain medications may not be prescribed via telehealth.
You consent to:

- SMS/text messages,
- email notifications,
- and telehealth encounters.
Message and data rates may apply.
5. No Guarantee of Prescription or Treatment
Submission of medical information, completion of questionnaires, payment, participation in consultations, or purchase of a protocol does not guarantee:
- prescription approval,
- medication fulfillment,
- treatment continuation,
- medication refills,
- or eligibility for any specific protocol.
All prescriptions are issued solely at the discretion of licensed healthcare providers.
Pharmacies may refuse, delay, modify, or cancel fulfillment based on inventory, regulations, medical necessity, provider judgment, state restrictions, compounding limitations, operational considerations, or evolving regulatory guidance.
Bayan Health does not guarantee the ongoing availability of any medication, peptide, compounded preparation, or wellness protocol.
6. Auto-Renewal and Recurring Billing Terms
Submission of medical information, completion of questionnaires, payment, or participation in consultations does not guarantee:
- prescription approval,
- medication fulfillment,
- treatment continuation,
- medication refills,
- or eligibility for any specific protocol.
All prescriptions are issued solely at the discretion of licensed healthcare providers.
Pharmacies may refuse, delay, or cancel fulfillment based on inventory, regulations, medical necessity, state restrictions, or operational considerations.
7. Compounded Medications
Certain medications offered through the Services may be compounded medications.
Compounded medications:
- are not FDA-approved;
- are prepared by licensed compounding pharmacies;
- may not have undergone FDA review for safety, efficacy, or quality;
- and may carry risks different from commercially manufactured products.
You acknowledge and agree that:
- compounded medications are customized preparations;
- availability may change without notice;
- formulas, concentrations, and excipients may vary;
- and certain compounded products may be subject to evolving regulatory guidance.
Bayan Health makes no representations regarding future availability of any compounded medication.
8. Peptide, Wellness, and Longevity Services
Certain wellness, peptide, regenerative, longevity, optimization, or performance-oriented protocols discussed through the Services may involve therapies that:
- are investigational;
- may not be FDA-approved for the discussed use;
- may be supported by limited human clinical data;
- or may be considered off-label.
Statements on the website are for informational and educational purposes only and have not been evaluated by the Food and Drug Administration unless specifically stated.
No statements made through the Services are intended to diagnose, treat, cure, or prevent any disease.
Users should discuss risks and benefits with licensed healthcare providers.

9. FDA, FTC, and Educational Content Disclosures
Certain wellness, peptide, regenerative, longevity, optimization, or performance-oriented protocols discussed through the Services may involve therapies that:

- may not be FDA-approved for the discussed use;
- may be supported by limited human clinical data;

11. Payment Terms

- medication costs,
- laboratory fees,
- shipping costs,
- subscription or protocol charges,
- and applicable taxes.
All payments are due at the time of purchase unless otherwise stated.
By submitting payment information, you authorize Bayan and its payment processors to charge your payment method.
Certain protocol programs may include recurring billing or renewal features.
You authorize recurring charges where applicable until cancelled in accordance with the applicable cancellation policy.
Recurring billing disclosures may also appear at checkout, onboarding, or within separate protocol-specific terms.
You acknowledge and agree that:
- recurring programs may automatically renew;
- your payment method may be charged automatically;
- renewal pricing may change;
- and cancellation requests must be submitted prior to the applicable renewal processing window.
For auto-billing programs and recurring protocol cycles, you must opt out at least fifteen (15) days before the next protocol cycle begins. If you do not opt out at least fifteen (15) days prior to the renewal date, you authorize Bayan Health to charge your payment method and initiate the next protocol cycle, which may include a new sixty (60) day or ninety (90) day treatment protocol depending on your selected program.
By enrolling in recurring protocol programs, you expressly authorize recurring charges and renewal processing unless timely cancellation is submitted in accordance with these Terms.
Bayan reserves the right to suspend access or collections for failed, disputed, reversed, or fraudulent payments.
12. Chargebacks and Payment Disputes
You agree to pay all fees associated with the Services.
Charges may include:
- consultation fees,
- platform fees,
- medication costs,
- laboratory fees,
- shipping costs,
- subscription or protocol charges,
- and applicable taxes.
All payments are due at the time of purchase unless otherwise stated.
By submitting payment information, you authorize Bayan and its payment processors to charge your payment method.
Certain protocol programs may include recurring billing or renewal features.
You authorize recurring charges where applicable until cancelled in accordance with the applicable cancellation policy.
13. Refunds and Cancellations
Consultation fees are generally non-refundable once clinical review has begun.
Medication orders may not be refundable once:
- prescribed,
- processed,
- compounded,
- dispensed,
- shipped,
- or otherwise prepared by the pharmacy.
Due to pharmacy regulations and patient safety requirements, medications cannot typically be returned.
Subscription or protocol cancellations must be submitted before the applicable renewal processing period.
Bayan reserves the right to deny refunds where:
- services were rendered,
- prescriptions were issued,
- fraud is suspected,
- chargeback abuse occurs,
- or policy violations are identified.
14. Shipping and Delivery
Shipping timelines are estimates only.
Bayan and its pharmacy partners are not responsible for delays caused by:
- carriers,
- weather,
- supply shortages,
- state restrictions,
- pharmacy processing,
- cold-chain logistics,
- or other factors outside reasonable control.
Users are responsible for providing accurate shipping information.
Certain medications may require refrigeration or special handling.
Risk of loss may transfer upon delivery to the carrier where permitted by law.
15. Shipment Verification and Acceptance
Certain treatment protocols include the shipment of two (2) or three (3) months of medication in a single delivery, while payment for such treatment may be collected in monthly installments. By placing an order, you acknowledge and agree that your payment obligation covers the entire treatment protocol dispensed to you, regardless of the timing of monthly installment charges.
Upon delivery, you are responsible for promptly inspecting your shipment to verify that you received the medication and supplies associated with your prescribed treatment protocol. If you believe your shipment is incomplete, incorrect, damaged, or missing any portion of the prescribed protocol, you must notify Bayan Health in writing within twenty-four (24) hours of the delivery date using the contact information provided on our website.
If Bayan Health is not notified within twenty-four (24) hours of confirmed delivery, the shipment will be deemed accepted as complete and conforming, except in cases involving documented shipping loss, carrier error, or other circumstances beyond the patient's reasonable control.
You acknowledge and agree that monthly installment payments represent payment for the treatment protocol that has already been prescribed and dispensed to you and are not tied to monthly shipments. You further agree not to initiate or pursue a payment dispute or chargeback solely because medication for future months was delivered in advance as part of your prescribed treatment protocol.
If you believe an error has occurred with your order, shipment, or billing, you agree to contact Bayan Health first and provide us with a reasonable opportunity to investigate and resolve the issue before initiating a payment dispute or chargeback.
16. User Responsibilities
You agree:
- to provide accurate information;
- not to impersonate another person;
- not to misuse prescriptions;
- not to share medications;
- not to submit false medical history;
- and not to use the Services for unlawful purposes.
You are solely responsible for:
- safeguarding your login credentials;
- maintaining device security;
- and ensuring your communications are secure.
17. Intellectual Property
All content on the Services, including:
- logos,
- branding,
- graphics,
- software,
- protocols,
- website design,
- and educational content,
is owned by Bayan Health or its licensors and protected by intellectual property laws.
You may not:
- copy,
- reproduce,
- distribute,
- reverse engineer,
- or commercially exploit the Services without prior written consent.
18. Third-Party Services
The Services may integrate with third-party providers including:
- pharmacies,
- laboratories,
- payment processors,
- telehealth platforms,
- shipping carriers,
- analytics tools,
- and communication services.
Bayan is not responsible for the acts, omissions, or policies of third parties.
Use of third-party services may be subject to additional terms.
19. Privacy
Your use of the Services is governed by our Privacy Policy and HIPAA Notice of Privacy Practices where applicable.
By using the Services, you consent to:

- and processing of information necessary to provide the Services.
Bayan may use third-party vendors and service providers for:
- payment processing,

- shipment tracking,
- telehealth facilitation,

- SMS delivery,
- and email communications.
While Bayan implements reasonable safeguards, no electronic system can be guaranteed fully secure.
20. HIPAA

- AND UNINTERRUPTED ACCESS.

- uninterrupted service,
- error-free operation,
- shipment timelines,
- or continued pharmacy participation.
Content provided through the Services, including educational materials, wellness content, blogs, protocols, social media posts, marketing materials, and provider communications, is intended solely for informational purposes.
Users should not disregard professional medical advice based on website content.
22. No Medical Claims
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAYAN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING:

Bayan does not guarantee:

- uninterrupted service,
- or error-free operation.
23. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BAYAN HEALTH AND ITS AFFILIATES SHALL NOT BE LIABLE FOR:
- INDIRECT,
- INCIDENTAL,
- SPECIAL,
- CONSEQUENTIAL,
- EXEMPLARY,
- OR PUNITIVE DAMAGES.
IN NO EVENT SHALL BAYAN’S TOTAL LIABILITY EXCEED THE AMOUNTS PAID BY YOU TO BAYAN DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
CERTAIN JURISDICTIONS MAY NOT ALLOW CERTAIN LIABILITY LIMITATIONS.
24. Indemnification
You agree to defend, indemnify, and hold harmless Bayan Health and its affiliates from claims arising out of:
- your misuse of the Services;
- violation of these Terms;
- violation of laws;
- inaccurate information provided by you;
- or misuse of prescribed medications.
25. Termination
Bayan may suspend or terminate access to the Services at any time without notice for:
- suspected fraud,
- abuse,
- regulatory concerns,
- safety concerns,
- non-payment,
- or violation of these Terms.
Termination does not eliminate payment obligations incurred prior to termination.
26. Dispute Resolution
Any dispute arising from these Terms or the Services shall be resolved through binding arbitration on an individual basis.
YOU WAIVE THE RIGHT TO PARTICIPATE IN CLASS ACTIONS OR JURY TRIALS.
Arbitration shall be conducted in Pennsylvania unless otherwise required by law.
Either party may seek injunctive relief for intellectual property violations.
By creating an account, checking applicable consent boxes, submitting intake forms, purchasing Services, or otherwise using the Services, you affirmatively acknowledge and agree to these arbitration provisions.
If any arbitration provision is deemed unenforceable, remaining provisions shall survive to the fullest extent permitted by law.
27. Class Action Waiwer
Any dispute arising from these Terms or the Services shall be resolved through binding arbitration on an individual basis.

37. Entire Agreement
These Terms, together with the Privacy Policy and any additional disclosures presented to you, constitute the entire agreement between you and Bayan Health regarding the Services.
38. Severability
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
